Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") govern your use of the website located at parandpixel.co (the "Site") and any services provided by Par & Pixel Studios ("we," "us," "our"). By using this Site or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use the Site or our services.

2. Services

Par & Pixel Studios provides website design, development, redesign, and ongoing maintenance services. The specific scope, deliverables, timeline, and price for any project will be set out separately in a written quote, proposal, or agreement provided directly to the client following a consultation. Nothing on this Site constitutes a binding offer of specific pricing or scope.

3. Client Responsibilities

Clients are responsible for providing timely feedback, content (text, images, branding materials), and any necessary account access required to complete a project. Delays in providing these materials may extend project timelines accordingly.

4. Fees & Payment

• Project pricing is quoted individually and confirmed in writing before work begins.
• A deposit of 50% of the total project fee is due before work begins, with the remaining balance due upon completion.
• Late payments may result in paused work and/or a late fee of $100 per week on the outstanding balance.
• All payments are processed securely through Stripe. We do not store your card details.

5. Revisions & Project Scope

Each project includes revision rounds as agreed upon in the project quote. Requests that fall outside the originally agreed scope may be treated as a separate, additional project and billed accordingly.

6. Intellectual Property

• Upon receipt of payment in full, ownership of the final website deliverables transfers to the client.
• Par & Pixel Studios retains the right to display completed work in its portfolio, case studies, and marketing materials, unless otherwise agreed in writing.
• Any third-party tools, frameworks, plugins, stock assets, or licensed software used in a project remain the property of their respective owners and are subject to their own license terms.

7. Third-Party Services

Our services may involve or recommend third-party platforms, including but not limited to web hosting providers, domain registrars, and payment processors (such as Stripe). Your use of those platforms is governed by their own terms of service. Par & Pixel Studios is not responsible for outages, fees, policy changes, or data handling by third-party providers.

8. Maintenance Plans

Maintenance plans are billed on a recurring monthly or annual basis and automatically renew until cancelled. Clients may cancel a maintenance plan by providing 60 days' written notice. No refunds are provided for partial billing periods unless otherwise required by law.

9. Warranties & Disclaimers

Services and deliverables are provided "as is." We do not guarantee specific business outcomes, including but not limited to search engine rankings, traffic, leads, or sales resulting from a website we design or maintain.

10. Limitation of Liability

To the fullest extent permitted by law, Par & Pixel Studios shall not be liable for any indirect, incidental, special, or consequential damages arising out of or related to our services or this Site. Our total liability for any claim shall not exceed the amount paid by the client for the services giving rise to the claim.

11. Termination

Either party may terminate an ongoing project or maintenance agreement as outlined in the applicable written agreement. Fees for work completed prior to termination remain due.

12. Governing Law

These Terms are governed by the laws of the State of Minnesota, USA, without regard to its conflict of law principles.

13. Changes to These Terms

We may update these Terms from time to time. Continued use of the Site or our services after changes are posted constitutes acceptance of the revised Terms.
